1. Definitions
- "Vertafy" / "we" / "us": IMA Management Group Ltd, Company No. 14603036, 30 Churchill Place, London, E14 5RE.
- "Client" / "you": The individual or legal entity that has subscribed to or uses the Vertafy services.
- "Services": The communication infrastructure platform, automation tools, analytics, and related services provided by Vertafy.
- "Subscription": The recurring payment arrangement under which you access the Services.
- "Content": Any data, text, messages, or information transmitted through the Services.
- "Agreement": These Terms & Conditions together with any Order Form, Statement of Work, or other documents incorporated by reference.
2. Services and Subscription Plans
Vertafy provides communication infrastructure services to Small and Medium-Sized Businesses (SMBs) in the United Kingdom and United States. The Services are offered under the following subscription tiers:

All prices are exclusive of VAT (for UK clients) and applicable taxes. Vertafy reserves the right to modify pricing with 30 days' written notice to existing subscribers.
One-Time Onboarding & Setup Fee
In addition to the monthly subscription, all new clients are required to pay a one-time, non-refundable onboarding and platform setup fee of £450 (GBP) / $700 (USD) prior to or upon commencement of the Services. This fee covers account configuration, workflow build-out, system integration, and dedicated onboarding support. This fee is payable in full before access to the platform is granted and is strictly non-refundable under any circumstances, including early termination of the subscription.
3. Free Trial
New clients may access a 14-day free trial of the selected plan. No credit card is required to begin the trial. At the end of the trial period, continued access requires a paid subscription. Vertafy reserves the right to modify or terminate free trial offers at any time. Trial accounts are subject to all other provisions of these Terms.
4. Payment Terms
All new clients are required to pay a one-time, non-refundable onboarding and platform setup fee of £450 (GBP) / $700 (USD) before access to the Services is granted. This fee is separate from and in addition to the monthly subscription and is strictly non-refundable under any circumstances.
Subscriptions are billed monthly in advance. Payment is due on the subscription start date and on the same date each subsequent month. Accepted payment methods include major credit/debit cards and bank transfer (for Enterprise plans).
If payment fails, Vertafy will notify you and provide a 7-day grace period to resolve the issue. If payment remains outstanding after the grace period, Vertafy may suspend access to the Services. Accounts suspended for non-payment for more than 30 days may be terminated, and data may be deleted in accordance with our data retention policy.
All fees are non-refundable except as expressly stated in our Refund Policy. You are responsible for all applicable taxes in your jurisdiction.
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services to:
- Send unsolicited bulk communications (spam) or violate any anti-spam legislation, including the UK Privacy and Electronic Communications Regulations (PECR) and the US CAN-SPAM Act.
- Transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Infringe any intellectual property rights of third parties.
- Attempt to gain unauthorised access to any part of the Services or related systems.
- Use the Services in connection with any fraudulent, deceptive, or misleading activity.
- Resell, sublicense, or otherwise transfer access to the Services without prior written consent from Vertafy.
Vertafy reserves the right to suspend or terminate accounts found to be in violation of this Acceptable Use Policy without notice.
6. Intellectual Property
All intellectual property rights in the Vertafy platform, software, documentation, and related materials are owned by or licensed to IMA Management Group Ltd. Nothing in these Terms grants you any rights in the Services other than as necessary to use them in accordance with this Agreement.
You retain ownership of all Content you transmit through the Services. By using the Services, you grant Vertafy a limited, non-exclusive licence to process your Content solely for the purpose of providing the Services.
7. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with this Agreement ("Confidential Information") and not to use it for any purpose other than performing obligations under this Agreement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Service Availability and SLA
Vertafy targets 99.9% monthly uptime for its core platform infrastructure. Planned maintenance will be communicated at least 48 hours in advance where possible. Unplanned outages will be communicated via our status page and email notifications.
Enterprise clients with a signed Service Level Agreement (SLA) are entitled to service credits as specified in their SLA in the event of downtime below the agreed threshold. Starter and Growth plan clients are not entitled to service credits but will receive prorated credits at Vertafy's discretion for significant outages.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Vertafy's total aggregate liability to you for any claims arising under or in connection with this Agreement shall not exceed the total fees paid by you to Vertafy in the three (3) months immediately preceding the event giving rise to the claim.
Vertafy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Termination
Either party may terminate this Agreement at any time by providing 30 days' written notice. You may cancel your subscription at any time through your account settings or by contacting support; cancellation takes effect at the end of the current billing period.
Vertafy may terminate this Agreement immediately upon written notice if you materially breach these Terms and fail to remedy the breach within 14 days of notification, or if you become insolvent or enter into administration.
Upon termination, your access to the Services will cease. You may request an export of your data within 30 days of termination; after this period, Vertafy may delete your data in accordance with its data retention policy.
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
For US-based clients, disputes may also be subject to binding arbitration under the rules of the American Arbitration Association (AAA) at the election of either party, except for claims that qualify for small claims court.
12. Changes to These Terms
Vertafy reserves the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email to the registered account holder. Continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms.
